1. Acceptance of Terms

By accessing or using ConnectNova ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and ConnectNova.

2. Description of Service

ConnectNova provides a SaaS-based AI-powered candidate screening and ranking platform designed to assist recruiters in evaluating candidates. The Service includes a Chrome browser extension for data collection and a web-based dashboard for candidate analysis, ranking, and management.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account. You must notify ConnectNova immediately of any unauthorized use of your account or any other breach of security.

4. User Obligations

When using the Service, you agree to:

• Obtain all necessary authorizations required to access third-party websites and APIs
• Respect the terms of service of third-party platforms, including LinkedIn
• Comply with all applicable laws and regulations, including data protection laws
• Not extract or scrape substantial portions of any third-party database beyond what the Service facilitates
• Not access confidential information of third parties without proper permission

5. Prohibited Activities

You shall not:

• Publish, transmit, or store any content that is illegal, harmful, threatening, or otherwise objectionable
• Engage in any activity that degrades the performance or availability of the platform
• Transmit any malware, viruses, or other malicious code
• Reverse-engineer, decompile, or disassemble any part of the Service without express written consent
• Use the Service to send unsolicited communications or spam
• Attempt to gain unauthorized access to the Service or its related systems

6. Payment Terms

Fees for the Service are non-refundable and charged upfront for the entire subscription term. ConnectNova reserves the right to modify pricing with 30 days' prior notice; continued use of the Service after such notice implies acceptance of the new pricing. Non-payment constitutes a material breach, permitting ConnectNova to suspend or terminate your account.

7. Intellectual Property

All content, features, functionality, APIs, documentation, and associated materials of the Service are and remain the exclusive property of ConnectNova. They are protected by copyright, trademark, and other intellectual property laws of the United States. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.

8. Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis. ConnectNova disclaims all warranties, express or implied. In no event shall ConnectNova be liable for any indirect, incidental, special, consequential, or punitive damages. ConnectNova's total liability shall not exceed the amounts paid by you during the six (6) months preceding the event giving rise to the claim. You acknowledge that internet data transmission carries inherent risks that ConnectNova cannot fully control.

9. Termination

Either party may terminate the subscription with 30 days' written notice. ConnectNova may suspend or terminate your account immediately and without liability in the event of violations of these Terms, unauthorized access, or use of the Service for illegal purposes. Upon termination, your right to access the Service ceases immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts in the United States.

11. Changes to Terms

ConnectNova reserves the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on the Service. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
